Terms of Service

Effective 20 October 2026 · Scope Cop LLC

These terms govern use of Scope, provided by Scope Cop LLC, a California limited liability company (Entity No. B20260404462). Scope is a service for businesses. By using it, or by signing an order that references these terms, you agree to them on behalf of the organization you represent, and you confirm you are authorized to do so.

1. What Scope is, and what it is not

Scope is a record-keeping and workflow service. It helps an organization assemble close-out packages, route documents for approval, schedule pre-construction walks, and record arrival at and departure from job sites.

Scope does not make you compliant, and it does not decide who may climb a tower. The authorization status Scope displays is a summary of records entered by you and by the relevant asset owner. It is information to act on, not a determination, a clearance, a permit, or a safety certification. Deciding whether a person may perform work, whether that person is trained and qualified, and whether a site is safe to enter remains entirely yours.

You remain responsible for complying with your contracts, with the asset owner's requirements, and with all applicable laws and safety regulations, whether or not Scope records something, displays something, or sends an alert. Scope does not replace a competent person on site.

2. Accounts

Accounts are issued by invitation, not by self-registration, because asset owners rely on Scope to say who is authorized. You are responsible for the accuracy of the people and roles you create, for removing access promptly when someone leaves, and for everything done under your accounts. Tell us at once if you believe an account has been compromised.

3. Subscription and fees

Scope is sold as an annual subscription, priced in bands by the number of personnel you give access to. Fees are stated in your order and are payable in advance. Unless your order says otherwise, fees are non-refundable, subscriptions renew for successive annual terms, and we may change pricing for a renewal term on at least 30 days' notice before that term begins.

If you exceed your band during a term we may move you to the correct band and invoice the difference. If an invoice is overdue we may suspend access after notifying you.

4. Your data

Your photographs, documents, messages and records remain yours. You grant us the licence we need to host, process, transmit and display them in order to provide the service, including to the asset owners you submit work to.

You are responsible for having the right to upload what you upload. Do not put government identifiers, financial account numbers, health information or biometric data into Scope.

On termination you may export your data for 30 days. After that we may delete it, subject to the retention described in our Privacy Policy, including the append-only activity record that cannot be altered or deleted by anyone.

5. Location data and your duty to your personnel

Scope records the location of your personnel at and near job sites, including while the app runs in the background, and discloses it to you and to the asset owner whose site is being visited.

Telling your personnel about that is your responsibility. You confirm that you will give every person you grant access the notices, and obtain the consents, that the law of their jurisdiction requires for workplace location monitoring, and that you have the authority to enable it for them. We provide the mechanism; the employment relationship is yours.

6. Acceptable use

Falsifying a compliance record is a breach we will treat as material, and it may be grounds for immediate termination.

7. Availability

We work to keep Scope available and will give advance notice of planned maintenance where we can. We do not promise uninterrupted or error-free operation unless a service level is stated in your order. Scope depends on third-party hosting, networks and notification providers, and on your personnel's own devices and mobile coverage.

Notifications and alerts are delivered on a best-efforts basis. Do not rely on an alert as the only means by which a safety-critical or time-critical fact reaches a person.

8. Disclaimer of warranties

Except as expressly stated in these terms, Scope is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all other warranties, express, implied or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the service will meet any regulatory, contractual or insurance requirement that applies to you, or that any record in it will be accepted by any third party.

9. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, nor for lost profits, lost revenue, lost business, lost data, or the cost of substitute services, whether or not it was advised such damages were possible.

Each party's total aggregate liability arising out of or relating to these terms is limited to the fees you paid us for the twelve months immediately before the event giving rise to the claim.

These limits do not apply to your obligation to pay fees, to either party's liability for fraud or wilful misconduct, or to anything that cannot be limited under applicable law.

10. Indemnity

You will defend and indemnify us against third-party claims arising from your use of Scope in breach of these terms, from content you upload, from your failure to give your personnel the notices required by section 5, and from any decision you make about who may perform work or whether a site is safe.

11. Confidentiality

Each party will protect the other's non-public information with at least reasonable care and use it only to perform these terms. This does not apply to information that is public, already known without obligation, independently developed, or required to be disclosed by law, in which case the disclosing party will be given notice where legally permitted.

12. Term and termination

Either party may terminate for material breach that is not cured within 30 days of written notice. You may choose not to renew by giving notice at least 30 days before the end of a term. We may suspend access immediately where continued access presents a security risk or where required by law. Sections 4, 8, 9, 10, 11 and 14 survive termination.

13. Changes to these terms

We may change these terms for a renewal term, or to reflect a change in law or in the service, on at least 30 days' notice. Continuing to use Scope after a change takes effect means you accept it. If a change materially reduces the service and you do not accept it, you may terminate before it takes effect and receive a pro-rata refund of fees paid for the unused remainder of the term.

14. Governing law and disputes

These terms are governed by the laws of the State of California, without regard to its conflict of laws rules. The exclusive venue for any dispute is the state or federal courts located in Riverside County, California, and each party consents to that jurisdiction. Each party waives any right to a jury trial, and no claim may be brought as a class action.

15. General

These terms, together with your order and our Privacy Policy, are the entire agreement between us on this subject. If any provision is unenforceable the rest stays in force. Neither party may assign without the other's consent, except to a successor of its business. A failure to enforce a provision is not a waiver of it. Neither party is liable for delay caused by events beyond its reasonable control. Nothing here creates a partnership, agency or employment relationship.
